Terms and Conditions of Use - Bosques Verificados

1. Welcome and Acceptance

Welcome to Bosques Verificados, a digital platform designed to support transparency, traceability and sustainability in forest supply chains.

These Terms and Conditions of Use (the "Terms") govern your access to and use of the Bosques Verificados platform, including its website, applications, databases, interfaces and related services (collectively, the "Platform"), owned and operated by Asociación Cultural para el Desarrollo Integral (ACDI) ("ACDI", "we", "our" or "us").

By accessing or using the Platform, you confirm that:

  • you have read and understood these Terms;

  • you have authority to act on behalf of the entity you represent; and

  • you expressly agree to be legally bound by these Terms.

If you do not agree, you must not use the Platform.

Express clickwrap acceptance: acceptance is made only via an explicit clickwrap mechanism (e.g., "I Accept"). No implied acceptance applies.

2. Purpose and Mission

The Platform is offered as part of a public-interest initiative intended to:

  • strengthen forest traceability;

  • support legal and deforestation-free supply chains;

  • to provide technical tools designed to support alignment with market requirements, including, by way of example and without limitation, those arising from the EU Deforestation Regulation (EUDR), without however guaranteeing regulatory compliance and;

  • to promote innovation and transparency.

The Platform is a technical and operational tool. It is not:

  • a certification body,

  • a public authority,

  • a governmental enforcement tool, or

  • legal, environmental or commercial advice.

You agree to use the Platform consistently with this purpose.

3. Definitions

  • "Platform": Bosques Verificados and related services.

  • "ACDI": "Asociación Cultural para el Desarrollo Integral", the platform owner/operator.

  • "User": a natural person accessing on behalf of an approved Eligible Enterprise.

  • "Eligible Enterprise": means any duly incorporated legal entity engaged in forestry or forestry-industrial activities, which has been invited and approved by ACDI to operate on the Bosques Verificados platform, including: (i) PYMEs, as defined under the applicable laws and regulations of the Republic of Argentina; and (ii) SMEs, as defined under applicable international standards and, where relevant, under European Union law. Each category shall be governed exclusively by its own applicable legal and regulatory framework. Obligations applicable to PYMEs shall not be imposed on SMEs, nor shall obligations applicable to SMEs be imposed on PYMEs, unless expressly stated otherwise. Approval as an Eligible Enterprise does not imply any automatic recognition of compliance with sector-specific or regulatory requirements.

  • "Auditor": Argentine or EU governmental entity granted technical access when applicable.

  • "Production Unit": declared forest establishment.

  • "Parcel": geographic area linked to a Production Unit (address/coordinates/geometry).

  • "Document": file uploaded (permits, guides, certificates, etc.).

  • "Blockchain Record": immutable technical record (identifier, hash, timestamp).

  • "Validation": ACDI's formal and coherence technical review.

4. Scope of Services

The Platform may include:

  • user/entity onboarding;

  • production unit/parcel registration;

  • geospatial validations through forest analysis services and tools, including Open Foris WHISP, consisting of data processing workflows that combine available global and national geospatial information for the purpose of assessing deforestation risk and the status of production parcels.;

  • document storage and management;

  • technical traceability via blockchain; and

  • ACDI formal completeness/coherence checks.

The Platform does not, in itself, nor autonomously or independently from the information provided by Users, guarantee:

  • the verification of the substantive legality of forestry activities;

  • compliance with Regulation (EU) 2023/1115 (EUDR) or any other applicable regulatory obligations;

  • the certification of products, operators or supply chains;

  • the fulfillment of due diligence obligations by importers or other obligated parties.

In particular, any results, validations or records generated by the Platform are based exclusively on the information, documentation and data submitted by Users. Accordingly, ACDI assumes no responsibility for their accuracy, truthfulness or completeness.

Any output or traceability generated by the Platform shall not be construed as substantive validation, certification, or a guarantee of regulatory compliance.

5. Registration, Invitation and Approval

Access is restricted:

  • invitation-based;

  • subject to ACDI approval;

  • ACDI may reject registrations at its discretion.

Accounts are non-transferable. Users must safeguard credentials and promptly report unauthorized access.

6. User Responsibilities

Users must:

  • provide accurate, complete and up-to-date information;

  • have legal basis/authority to upload data and documents;

  • retain original supporting documentation;

  • comply with applicable law;

  • refrain from unlawful or misleading uses.

Prohibited conduct includes fraud, interference with security/operation, reverse engineering, and off-purpose use.

7. ACDI Validation (Limited Scope)

ACDI performs formal and coherence technical checks only, such as:

  • completeness checks;

  • internal consistency checks;

  • automated geospatial checks.

ACDI does not verify:

  • land title/tenure;

  • substantive legality;

  • full environmental compliance;

  • export/commercial eligibility;

  • guaranteed EUDR compliance outcomes.

Responsibility for the accuracy and legal consequences of the uploaded content rests exclusively with the User and/or the Eligible Enterprise.

8. Blockchain and Technical Records

Blockchain is used only for technical traceability:

  • document ID, hash and timestamp are recorded;

  • documents are not stored on-chain;

  • documents are stored off-chain (Amazon S3);

  • records are immutable.

Smart contracts are not legal contracts and do not create autonomous legal obligations.

9. Audits and Authority Access

ACDI may grant technical access to Argentine and/or EU governmental authorities for verification.

ACDI is not liable for decisions or sanctions adopted by such authorities.

10. Interoperability and Third-Party Services

The Platform may interoperate with external systems. ACDI does not control third-party services and is not responsible for their failures.

11. Intellectual Property

The Platform is ACDI's intellectual property.

Users retain ownership of their documents and business data.

The User and/or the Eligible Enterprise grants ACDI a limited license to store and/or process the content solely for the purpose of operating the Platform in accordance with its intended purpose.

12. Availability and Technical Changes

The Platform is provided "as is" and "as available". Maintenance and changes may occur. No uninterrupted availability is guaranteed.

13. Disclaimer of Warranties

To the maximum extent permitted by law, ACDI disclaims warranties regarding accuracy, error-free operation, continuity or fitness for a particular purpose.

Geospatial data is indicative and may differ from real conditions.

14. Limitation of Liability

ACDI shall not be liable for indirect damages, lost profits, regulatory/commercial consequences, third-party actions, or external infrastructure failures.

Nothing excludes liability that cannot be excluded by law.

15. Indemnification

Users shall indemnify ACDI for claims arising from false content, regulatory breaches, third-party rights violations, or misuse.

16. Suspension and Termination

ACDI may suspend/terminate access for breach, legal/reputational risk, or authority request. No compensation is owed.

17. Changes to the Terms (Express Acceptance Required)

Any update:

  • will be versioned;

  • requires express clickwrap acceptance;

  • blocks Platform use until accepted.

No implied acceptance.

18. Governing Law and Jurisdiction

Argentine law applies, with recognition of mandatory EU law where applicable. Jurisdiction: courts of Santa Fe, Argentina, subject to mandatory rules.
